Agreement		NAUTIC STUDIOS SALES PROGRAM AGREEMENT Your participation in Nautic Studios' sales program is subject to the terms of this legal agreement (the "Agreement") between you (the "Sales Representative") and Nautic Studios LLC (the "Company"), whose principal place of business is at 565 Jackson Avenue, Suite C, Satellite Beach, FL 32937, United States. RECITALS WHEREAS, Company desires to obtain sales representatives to represent the company's services to the general public. WHEREAS, Sales Representative desires to render such services to Company. NOW, THEREFORE, in consideration of the mutual agreements herein contained, it is understood and agreed as follows: 1. APPOINTMENT The Company hereby grants to the Sales Representative the non-exclusive right to solicit orders for the services from potential customers. Company has not promised, quoted or guaranteed Sales Representative any earnings or earning potential and Sales Representative understands that his or her earnings are based solely on their own efforts. 2. SERVICE TO BE PROVIDED BY SALES REPRESENTATIVE Sales Representative agrees to work diligently and to devote his or her best efforts to sell Company's products and related services. It is understood that Company shall establish pricing of services marketed by Sales Representative, which will be provided in the form of quotes. 3. SALES TERRITORY Sales Representative agrees to limit his or her efforts to the geographic area of the United States. It is expressly understood that the Company reserves the right to appoint other sales representatives in the United States or other geographic areas without limitation. 4. COMPENSATION Sales Representative shall be entitled to commission for work completed hereunder on each order (represented by a signed contract or sales order) solicited and for which payment in full has been received by Company, except on orders for hosting, consulting or subscription services. The company shall pay the Sales Representative 10% for his or her first two sales, 12% for the third and fourth sales, 14% for the fifth and sixth sales, 16% for the seventh and eighth sales, 18% for the ninth and tenth sales, and 20% for all sales thereafter. This commission structure is subject to change and does not apply to hosting, consulting, or subscription services. Commissions will not be owed until a final payment is received from the client. Owed commissions will be processed on or before the first day or each month. 5. CANCELLATION In the unlikely event of cancellation of the order by customer, no commission will be paid except in the discretion of Company. 6. FACILITIES Company shall not provide any office space or staffing for Sales Representative, and to the extent required by Sales Representative, he or she shall be solely responsible therefore. 7. AUTHORIZATION FOR EXPENDITURES It is understood that any expenditures, which are not specifically authorized in writing by Company, shall not be reimbursed. 8. ADVERTISING Sales Representative shall obtain prior written approval from the Company for any advertising copy, promotional materials or other written or printed material used by the Sales Representative in promoting sales of the Company's services when same has not been provided by the Company. Sales Representative shall bear sole financial responsibility for any advertising for the purpose of marketing the Company's services. 9. RESPONSIBILITY FOR WITHHOLDING/RESTRICTIONS ON BENEFITS Sales Representative acknowledges that as an independent contractor, Company does not withhold from commissions any income taxes, social security deposits or any other special or general funds, assessments or taxes generally collected by employers for the use and benefit of employees, and that as an independent contractor, Sales Representative cannot participate in any profit sharing plan, pension fund, group insurance or other such benefits provided for Company's employees. 10. SALES REPRESENTATIVE RESPONSIBLE FOR METHOD, TECHNIQUES AND PROCEDURES Sales Representative shall not make any claims relating to the services except as expressly published by the Company. Sales Representative assumes and retains discretion for the methods, techniques and procedures in soliciting and obtaining all sales of Company's services. Company shall have no right, except to the extent as may be required by law, to direct or limit Sales Representative's activities as to hours, leads, production, prospects, reports, sales, sales meetings, schedules, services, time off, training, vacation, or other similar activities. Sales Representative shall use the term "Authorized Sales Representative" on all printed material in connection with the products. Company shall not be liable to the Sales Representative, or for his or her actions or conduct, or for incidental or consequential damages of any type whatsoever. 11. RELATIONSHIP OF PARTIES/RESTRICTIONS ON AUTHORITY OF SALES REPRESENTATIVE This Agreement does not constitute a hiring by either party. It is the parties' intention that Sales Representative shall be an independent contractor and not Company's employee, and in conformity therewith Sales Representative shall retain sole and absolute discretion and judgment in the manner and means of carrying out Sales Representative's activities hereunder. Sales Representative is under control of Company as to the result of Sales Representative's work only, and not as to the means by which such result is accomplished. This Agreement shall not be construed as a partnership between Company and Sales Representative. It is understood that Sales Representative shall have no authority to bind Company to any cost, expense, promise, representation or obligation, unless specifically authorized in writing by Company. Moreover, and without limiting the foregoing, Sales Representative shall have no authority to: (a) endorse or negotiate checks or any negotiable instrument payable to Company, (b) advertise or cause to be published anything concerning Company or its services, without the prior written consent of Company, which consent may be withheld in Company's sole discretion, (c) acknowledge or accept any liability or recognize any asserted claim filed against Company, and (d) incur any indebtedness in Company's name, or sign Company's name to any contract. 12. CONFIDENTIALITY It is understood that Sales Representative may, in the course of business, acquire and be informed of special and confidential business information relating to the business of Company, including, without limitation, customer and client lists, pending or potential acquisitions, business contracts and leads, business practices, and other confidential matters. Sales representative agrees not to share confidential information. 13. INTELLECTUAL PROPERTY All work created will remain the intellectual property of the Company, unless otherwise stated in another agreement. 14. EMAIL Company may provide an email account for the Sales Representative. This account is to be used strictly for business purposes and may be monitored. 15. TERM This Agreement shall remain in effect for a period of one (1) year from the date of this Agreement unless terminated earlier as provided for herein, and thereafter will be automatically renewed by Company on a year-to-year basis. 16. TERMINATION On completion of work in progress, Sales Representative, may terminate this Agreement without cause, and in Sales Representative's sole discretion, upon delivery of written notice to Company. In the event of violation of the terms hereunder by Sales Representative Company may terminate representative without notice. Company may also terminate representative for inactivity or any other reason by providing 30 days written notice. 17. ENTIRE AGREEMENT This Agreement contains the entire agreement of the parties with respect to the subject matter of this agreement. Any amendments to this Agreement must be in writing and signed by both parties. This Agreement supersedes any prior written or oral agreements between the parties with respect to the subject matter of this agreement. 18. AMENDMENT This agreement may be modified or amended, if the amendment is made in writing and is signed by both parties. 19. WAIVER OF CONTRACTUAL RIGHT The failure of either party to enforce any provision of this Agreement shall not be construed as a wavier or limitation of that party's right to substantially enforce and compel strict compliance with every provision of this Agreement. 20. GOVERNING LAW AND SEVERABILITY In interpreting the terms of this Agreement, the parties agree that the laws of the United States and the State of Florida shall be applicable. If for any reason a court of competent jurisdiction finds any provision of this Agreement or portion thereof, to be unenforceable, that provision of the Agreement shall be enforced to the maximum extent permissible so as to effectuate the intent of the parties and the remainder of this Agreement shall continue in full force and effect.
